Welcome to KIRTONIC. These Terms of Service (the "Terms") are a legally binding agreement between you and KIRTONIC LTD, a company incorporated and registered in England and Wales with company number 16693710 and its registered office at Guildhall Place, Market Hill, Cambridge, United Kingdom, CB2 3QJ ("KIRTONIC," "Company," "we," "us," or "our"), governing your access to and use of the KIRTONIC applications, websites, APIs, AI agent platform, and related services (collectively, the "Service").
By accessing or using the Service, or by clicking Sign Up or similar, you agree to be bound by these Terms and to comply with all applicable laws and regulations, including consumer protection, data protection, and electronic communications laws. If you do not agree to these Terms, you must not access or use the Service in any capacity.
Important: KIRTONIC provides AI-generated content, which may be inaccurate, incomplete, or inappropriate for your use case. You are solely responsible for reviewing and relying upon outputs. KIRTONIC is not a substitute for professional advice.
1. The Service
1.1 Description
KIRTONIC provides a platform to create, configure, deploy, and interact with AI agents, tools, and integrations; to upload or connect data sources; and to communicate with others through collaboration features (collectively, the "Platform"). Users may visit the website, view content, create and manage agents, connect integrations, post content, and chat with other Users ("Users").
1.2 Eligibility
• You may use the Service only if you can form a binding contract with us and only in compliance with these Terms and applicable laws. • Minimum age. Any use by anyone under 13 is prohibited. If you are under 18, you may use the Service only with the consent and supervision of a parent or legal guardian who agrees to these Terms and is responsible for your use. • The Service is not available to any User previously removed or suspended by KIRTONIC.
1.3 Account Registration
• To access features, you must create an account ("Account"). If you register on behalf of an entity, you represent that you have authority to bind that entity; references to "you" include that entity. • You must provide accurate and current information and keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your Account. Notify us immediately of any unauthorized use. • We may permit sign-in via third-party identity providers. Their handling of your data is governed by their own policies. By connecting such services, you authorize us to receive information as permitted by those services.
1.4 Devices & Connectivity
Access to the Service may require compatible hardware, software, internet access, and may incur third-party fees. You are responsible for these requirements and fees.
1.5 Changes to the Service
We may modify, suspend, or discontinue the Service or features at any time. We may impose usage limits. We may suspend or terminate your access if you violate these Terms.
2. Licences & Rights
2.1 Limited Licence
Subject to your compliance with these Terms, KIRTONIC grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service for lawful purposes, as permitted by the features of the Service.
2.2 Our Proprietary Rights
Except for User Content (defined below), the Service and all materials therein, including software, models, prompts, agent configurations, text, images, graphics, trademarks, logos, and all intellectual property rights ("KIRTONIC Content") are owned by KIRTONIC or its licensors. No rights are granted except as expressly set out in these Terms. Do not copy, modify, distribute, sell, lease, or create derivative works of the Service or KIRTONIC Content.
2.3 Feedback
You may submit ideas, suggestions, or feedback ("Feedback"). You grant KIRTONIC a perpetual, worldwide, irrevocable, royalty-free licence to use the Feedback without restriction and without obligation to you.
3. User Content & Data
3.1 Definitions
"User Content" means any content you submit, upload, link, post, train on, or otherwise make available via the Service, including text, data, files, images, audio, video, prompts, instructions, agent configurations, and outputs you choose to publish or share.
3.2 Your Ownership; Licence to KIRTONIC
You retain ownership of your User Content. You grant KIRTONIC a worldwide, non-exclusive, royalty-free, transferable, and sublicensable licence to use, reproduce, host, process, adapt, translate, display, perform, and create derivative works of your User Content only (a) to provide, maintain, secure, and improve the Service; (b) to comply with law and enforce policies; and (c) as you otherwise instruct.
3.3 Rights You Grant to Other Users
Where the Service enables sharing or collaboration, you grant other Users a licence to view and interact with your shared User Content consistent with your settings and these Terms. You are responsible for your sharing settings.
3.4 Your Responsibilities & Warranties
You represent and warrant that you have all rights necessary to submit User Content and to grant the licences above; that your User Content does not infringe or violate any third-party rights or laws; and that you will comply with the Acceptable Use Policy and Community Guidelines.
3.5 Moderation
We may, but are not obligated to, review, remove, or restrict access to User Content at our discretion, including where content or behaviour breaches these Terms or law.
4. Safety, Acceptable Use, and Misuse
4.1 Good-Faith, Lawful Use Only
You must use the Service in good faith and only for lawful purposes. You are solely responsible for the content you upload, prompt, generate, or share and for how you use any output. Uploading, generating, or distributing illegal content or using the Service to facilitate unlawful acts is strictly prohibited.
4.2 Prohibited Conduct
You agree not to, and not to enable others to: • Access, scrape, or copy any part of the Service by automated or non-automated means other than as provided by KIRTONIC; • Interfere with or compromise the integrity or security of the Service; upload malware or malicious code; • Impersonate others; misrepresent your affiliation; commit fraud; • Infringe IP, privacy, or publicity rights; • Generate or disseminate content that is unlawful, exploitative, harassing, defamatory, hateful, violent, sexually explicit, or that endangers minors; • Use the Service for surveillance, weapons development, critical infrastructure control, exploitative content farms, or unlawful discrimination; • Reverse engineer, decompile, or attempt to extract source code or model weights except as permitted by law; • Bypass or attempt to bypass content filters, safety systems, or usage limits; • Collect or harvest personal data from other Users without lawful basis and consent.
4.3 Zero-Tolerance; Preservation; Reporting
We operate a zero-tolerance policy for content involving child exploitation, terrorism, human trafficking, unlawful violence, and similarly egregious harm. We may suspend or terminate accounts without notice, preserve data, and report suspected unlawful activity to competent authorities and providers, including law-enforcement, courts, regulators, payment networks, and hosting providers. We will comply with valid legal processes and may block access to content geo-locally where required by law.
4.4 No Professional Advice; Output Caution
AI outputs may be inaccurate, incomplete, or unsafe. KIRTONIC does not provide legal, financial, medical, or other professional advice. Outputs are for informational purposes only and should not be relied upon as a substitute for professional advice. You must independently verify outputs before use.
5. Payments; Trials; Renewals
5.1 Payment Methods; Processor
Certain features require payment of fees. You agree to pay all applicable fees, charges, and taxes. Payments are processed by our payment provider Stripe and are subject to Stripe's own terms and conditions. You acknowledge that KIRTONIC is not responsible for the acts, omissions, errors, or failures of Stripe. You authorize us and Stripe to charge any payment method on file.
5.2 Seven-Day Trial (Card Required)
We may offer a seven (7)-day free trial. A valid debit or credit card is required to start the trial. At the end of the trial, your plan converts to a paid subscription at the then-current rate unless you cancel before the trial ends. You may not receive a separate end-of-trial notice.
5.3 Subscriptions; Auto-Renewal
Subscriptions automatically renew at the end of each billing cycle unless cancelled via your Account settings. By not cancelling, you authorize recurring charges using your stored payment method. Cancellation takes effect at the end of the current billing period.
5.4 Pricing Changes
We may change prices or introduce charges for features. Changes take effect in the next billing cycle after notice.
5.5 Taxes; Invoices
You are responsible for all applicable taxes. You agree to provide accurate billing and tax information. We may withhold amounts as required by law.
5.6 Refunds
Unless required by law or a specific policy states otherwise, fees are non-refundable and partially used periods are not credited.
5.7 Non-Payment
If any payment is not received when due, we may immediately suspend or restrict access to the Service until payment is made. We reserve the right to terminate your Account for non-payment. You remain responsible for all outstanding amounts and collection costs.
5.8 Cancellation
You may cancel your subscription at any time via your Account settings. Once cancellation has been processed, the Service will remain active for 30 days from the date of cancellation, after which access will stop. You remain liable for payment of fees covering the applicable billing cycle, and charges are payable up to and including the cancellation effective date.
6. Intellectual Property; Notices
6.1 IP Complaints; Notice-and-Takedown (UK/EU)
If you believe that content available via the Service infringes your rights or is unlawful, please send a Notice-and-Takedown request to our Notice Agent with the following: (a) your name and contact details; (b) a description of the content and its URL/location on the Service; (c) the legal basis of your complaint (e.g., copyright, trademark, privacy, defamation); (d) a statement of good-faith belief that the use is not authorized or is unlawful; and (e) a statement that the information is accurate and that you are the rights holder or authorized to act for them. We may remove or disable access to the content and may notify the uploader. We may terminate repeat infringers.

6.2 Trademarks & Branding
"KIRTONIC," our logos, and trade dress are trademarks of KIRTONIC. Do not use them without prior written permission.
7. Third-Party Services & Links
The Service may link to or integrate third-party sites, models, datasets, plugins, or services. KIRTONIC is not responsible for third-party content, terms, or privacy practices. Your use of third-party services is at your own risk and governed by their policies.
KIRTONIC relies on certain third-party providers (including but not limited to payment processors, hosting providers, and integration partners) to deliver parts of the Service. We are not responsible or liable for the acts, omissions, errors, or failures of such third-party providers. Any disputes or issues arising from those third-party services must be resolved directly with the provider.
8. Security
We employ technical and organisational measures to protect the Service and your data, but we do not guarantee that the Service will be error-free or secure from all threats. You are responsible for using strong passwords, keeping credentials confidential, and promptly installing updates.
9. Online Safety & Regulatory Compliance
KIRTONIC acknowledges its obligations under applicable online safety, consumer protection, and data protection laws, including but not limited to the UK Online Safety Act 2023. We recognise the supervisory role of Ofcom in the United Kingdom and will take steps consistent with Ofcom's guidance and directions, including risk assessments, reporting mechanisms, and enforcement of illegal-content and child-safety standards.
Globally, KIRTONIC will comply with relevant online safety, consumer, and privacy regulations in applicable jurisdictions, including laws requiring removal of unlawful content, moderation of harmful material, or restrictions on access by minors. Where laws impose duties on us, we will meet them; where laws impose duties on users, you remain fully responsible for compliance. We may suspend, restrict, or report accounts as necessary to satisfy statutory duties.
10. Privacy
Our Privacy Policy explains how we collect, use, disclose, transfer, and store personal data across online and offline interactions.
10.1 Data We Capture
We collect and process the following categories of personal data: • Identity data: name, username, display name, avatar, photos, and contact details. • Account data: login credentials, payment details (via third-party processor), subscription status, preferences, assigned agents. • Usage data: conversation chats (text prompts and responses between you and the agent), agent responses, activity logs, preferences, and settings. • Media data: uploaded images, audio recordings, video files, documents, and any other data you upload or provide. • Generated data: LLM model identifiers, embeddings, and system outputs associated with your usage. • Device and technical data: IP address, device identifiers, browser type, operating system, cookies, and analytics data.
10.2 How We Use Your Data
We use your data to: (a) provide, secure, and improve the Service; (b) process payments and manage subscriptions; (c) personalise your experience; (d) investigate and prevent fraud, abuse, and misuse; (e) comply with legal obligations; and (f) communicate with you regarding the Service.
10.3 Retention
We retain personal data only for as long as necessary to provide the Service, meet legal obligations, resolve disputes, and enforce agreements.
10.4 Cross-Border Processing
We may transfer and process personal data in countries other than your country of residence with appropriate safeguards.
10.5 GDPR Compliance
KIRTONIC LTD complies with the UK GDPR, EU GDPR, and comparable global data protection laws. Users are responsible for ensuring that any personal data they upload, input, or process through the Service has been lawfully obtained and that they have the right to submit it. Data subjects may exercise rights of access, rectification, erasure, restriction, portability, and objection as described in our Privacy Policy.
11. Disclaimers
THE SERVICE AND ALL KIRTONIC CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." YOUR USE IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. AI OUTPUTS MAY BE INACCURATE OR OFFENSIVE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIRTONIC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS. OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE AMOUNT PAID BY YOU TO KIRTONIC IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR £100, WHICHEVER IS GREATER.
Some jurisdictions do not allow certain limitations; in those cases, liability is limited to the maximum extent allowed by law. For clarity, KIRTONIC is not responsible or liable for the acts, omissions, errors, or failures of third-party providers (including but not limited to payment processors, hosting providers, or integration partners).
13. Indemnity
You will defend, indemnify, and hold harmless KIRTONIC LTD, its affiliates, and their directors, officers, employees, agents, and licensors from and against all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your breach of these Terms; or (d) your violation of law or third-party rights.
14. Dispute Resolution; Governing Law
14.1 Informal Resolution
You agree to first contact us at legal@kirtonic.com and give us an opportunity to address and resolve any concerns within thirty (30) days before taking further action.
14.2 United Kingdom / EEA Consumers
If you reside in the United Kingdom or the European Economic Area (or where arbitration is not permitted by law), these Terms and any dispute or claim (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.
14.3 Non-UK/EEA Users
If you reside outside the United Kingdom or the European Economic Area, you agree that any dispute or claim shall be governed by the laws of England and Wales, without regard to conflict of law principles, and shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Termination
We may suspend or terminate your Account or access to the Service immediately if you breach these Terms, if required by law, or where your use creates risk or harm to us, other users, or third parties. Upon termination, your licence to use the Service ceases immediately. You may terminate at any time by closing your Account. Certain provisions (including Sections 2, 3, 6, 11–14, and 16–18) shall survive termination.
16. Force Majeure
We shall not be liable or responsible for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, strikes, government action, internet or telecommunications failures, or power outages.
17. Entire Agreement
These Terms constitute the entire agreement between you and KIRTONIC with respect to the Service and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral.
18. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
19. Waiver
No waiver by KIRTONIC of any breach or default shall be deemed a waiver of any preceding or subsequent breach or default.
20. Changes to the Terms
We may amend these Terms from time to time. The "Date Modified" at the top indicates the latest revision. Material changes will be notified to you via the Service or email. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
